- • Professional standards of care and skill

- • Quality assurance and testing procedures
2.3 Timeline and Delivery
- • Project timelines specified in individual agreements
- • Milestone-based delivery when applicable
- • Client responsibilities may affect timelines
- • Force majeure events may impact delivery dates
3.1 Information and Materials
- • Provide accurate project requirements
- • Supply necessary content and materials promptly
- • Ensure all provided materials are legally owned/licensed
- • Respond to requests for clarification within 3 business days
3.2 Access and Cooperation
- • Provide necessary system access credentials
- • Designate authorized representatives
- • Participate in scheduled meetings and reviews
- • Test and approve deliverables in a timely manner
3.3 Technical Environment
- • Maintain compatible technical infrastructure
- • Ensure adequate hosting and domain management
- • Provide development and testing environments when required
- • Maintain current software licenses for proprietary tools
4.1 Pricing and Invoicing
- • Prices as specified in individual agreements
- • Additional work charged at current hourly rates
- • Invoices sent via email in PDF format
- • All prices exclusive of applicable taxes
4.2 Payment Schedule
- • Project-based: Milestone payments as agreed
- • Retainer: Monthly payments due by 1st of each month
- • Hourly: Monthly invoicing for time worked
- • Custom: As specified in individual agreements
4.3 Late Payments
- • Payment due within 30 days of invoice date
- • Late fee of 1.5% per month on overdue amounts
- • Right to suspend products and services for accounts 60+ days overdue
- • Collection costs charged to delinquent accounts
5.1 Work Product Ownership
- • Final deliverables transfer to Client upon full payment
- • Client receives usage rights for intended business purposes
- • BeLikely retains rights to general methodologies and know-how
- • Third-party components subject to original licenses
5.2 Pre-existing Rights
- • BeLikely retains all rights to pre-existing intellectual property
- • Client retains rights to content and materials provided
- • No implied licenses beyond project scope
- • Respect for all third-party intellectual property rights
5.3 Portfolio Rights
- • BeLikely may showcase work in portfolio (unless confidential)
- • Right to use project as case study (with client permission)
- • Client credit and recognition when showcasing work
- • Respect for confidential or sensitive projects
6.1 Service Warranties
- • Services performed with professional skill and care
- • Deliverables free from material defects for 90 days
- • Compliance with agreed specifications
- • Correction of defects at no additional cost during warranty period
6.2 Technology Disclaimers
- • No warranty for third-party software or services
- • Client responsible for data backup and recovery
- • No guarantee of specific performance metrics
- • Technology may become obsolete over time
IMPORTANT: Liability Limitations
- • Liability limited to fees paid for specific project
- • No liability for indirect, consequential, or special damages
- • No liability for business interruption or lost profits
- • Limitations apply to all claims regardless of legal theory
7.2 Exceptions
- • Limitations don't apply to intentional misconduct
- • Death or personal injury caused by negligence excluded
- • Violations of confidentiality obligations excluded
- • Other exceptions as required by applicable law
Communication First
Good faith efforts to resolve disputes through direct communication
Mediation
Binding mediation with qualified mediator for unresolved disputes
Legal Action
Court proceedings as last resort with specified jurisdiction
